I served as bank counsel for Manufacturers Hanover Trust Company in New York, New York, Mitsui Manufacturers in Los Angeles, California and CommonWealth Bank in Carson/Torrance, California. My work included the negotiation, review and drafting of large and complex commercial loan documentation, secured and unsecured. I also prepared leverage leasing documentation, real estate secured transactions and real estate participation agreements between banks. I prepared inter-creditor agreements in bank/client relationships involving factors, SBA Loan documentation, term loan and revolving credit agreements and accounts receivable financing documentation.

I have functioned as bank litigator (collection work), received and work on numerous wills and trusts, negotiated and drafted many real and personal property leases and drafted consumer loans documentation.  I reviewed and drafted many contracts, including those involving computer hardware and software, performed legal research writing and attended bank officer loan committee meetings as Vice President and General Counsel. I counseled senior management and staff and was involved with the uniform commercial code while in the banking industry.  As VP and General Counsel of CommonWealth Bank, I had the responsibility of reducing legal costs, reviewing litigation and potential litigation affecting the bank and assigned work to outside counsel. I carefully scrutinized the outside counsels' work product and billing practices.
